PLEASE READ THESE TERMS CAREFULLY BEFORE SUBMITTING AN OFFER OR REQUESTING THE IMMEDIATE-BOOKING OPTION.
By submitting an offer or requesting to secure the date immediately, you acknowledge that you have read, understood, and agreed to these Offer Terms. Submission of an offer does not, by itself, create a confirmed booking or require AOKMagic LLC to perform.

Throughout these Terms, “AOKMagic,” “Alexander,” “we,” “us,” and “our” refer to AOKMagic LLC and Alexander the OK.
“Participant,” “bidder,” “client,” “you,” and “your” refer to the person or organization submitting an offer or requesting the immediate-booking option.

PURPOSE OF THE OFFER PROCESS
AOKMagic is making one exclusive New Year’s Eve performance date available for December 31, 2026.
Because New Year’s Eve is a limited, high-demand performance date, AOKMagic will consider confidential offers from qualified clients rather than awarding the date to the first person who submits an ordinary inquiry.
This is a commercial offer process for professional entertainment services. It is not a charitable auction, contest, sweepstakes, raffle, gambling activity, or game of chance. No purchase or payment is required merely to submit an offer.

OFFER PERIOD
The confidential offer period begins:
October 1, 2026 at 12:00 a.m. Mountain Time
The offer period closes:
December 1, 2026 at 7:00 p.m. Mountain Time
AOKMagic’s records will determine the official date and time that an offer is received.
Offers received after the closing deadline may be disregarded unless AOKMagic extends or reopens the offer period in accordance with these Terms.
The offer process may close before December 1 if a qualified client successfully exercises the $5,000 immediate-booking option and completes the required performance agreement and retainer payment.

ELIGIBILITY
To submit a qualifying offer, the participant must:
• Be at least eighteen years old;
• Provide accurate and complete contact information;
• Have legal authority to enter into an agreement for the event or be acting with the authorization of the person or organization responsible for the event;
• Be able to verify the event, venue, location, expected attendance, performance schedule, and other material event details;
• Submit an offer that meets or exceeds the published minimum;
• Agree to AOKMagic’s standard performance agreement, subject to any mutually approved modifications;
• Be able to pay the required retainer within the stated deadline; and
• Request an event that AOKMagic can safely, legally, and reasonably perform.
AOKMagic may require proof that a participant is authorized to submit an offer or enter into a contract for the event.

MINIMUM OFFER
The minimum qualifying offer is:
$2,000
Offers below $2,000 will not qualify.
Participants are encouraged to submit offers in increments of $250. AOKMagic may consider an offer submitted in another increment but is not obligated to do so.
An offer represents the amount the participant is prepared to pay for the included performance package, subject to any additional expenses disclosed before the performance agreement is signed.

INCLUDED PERFORMANCE OPTIONS
A qualified participant may request one of the following performance formats:
OPTION A: STAGE SHOW
One interactive adult comedy magic stage performance lasting up to seventy-five minutes.
OPTION B: STROLLING MAGIC
Up to two hours of interactive close-up or strolling magic performed throughout the event.
Unless otherwise agreed in writing, an offer includes only one of these performance formats.
Additional performances, extended performance time, custom material, specialized production, additional appearances, rehearsal time, early arrival, extended standby time, or services outside the selected package may require additional compensation.

SERVICE AREA AND ADDITIONAL EXPENSES
The published offer package is intended for events located within the general Denver–Colorado Springs–Pueblo service corridor.
Additional charges may apply for:
• Travel outside the standard service area;
• Airfare or long-distance transportation;
• Hotel accommodations;
• Parking, tolls, valet service, or venue access charges;
• Specialized audio, lighting, staging, or production requirements;
• Additional performance or standby time;
• Custom-written or branded material;
• Additional performers, assistants, or production personnel;
• Holiday-related transportation or lodging costs; and
• Any unusual requirement that materially increases the cost or scope of the engagement.
Any mandatory additional charges known before booking will be disclosed before the participant signs the performance agreement.
An offer will not be treated as a commitment to undisclosed charges.

WHAT CONSTITUTES A QUALIFIED OFFER
A “Qualified Offer” is an offer that, in AOKMagic’s reasonable judgment:
• Meets or exceeds the minimum offer amount;
• Was submitted within the offer period;
• Contains complete and accurate information;
• Relates to a legitimate and verifiable event;
• Comes from a person authorized to make the offer;
• Requests services AOKMagic can reasonably provide;
• Presents acceptable performance conditions;
• Does not create an unreasonable safety, legal, reputational, scheduling, travel, or operational concern;
• Does not include material conditions that reduce or substantially alter the stated offer amount;
• Is financially credible; and
• Complies with these Offer Terms.
The largest numerical offer is not necessarily the highest Qualified Offer if that offer includes materially greater expenses, excessive travel, unreasonable conditions, an impractical schedule, unacceptable venue conditions, or services outside the included package.

EVENT QUALIFICATION AND VERIFICATION
AOKMagic may contact a participant to verify:
• The participant’s identity and booking authority;
• The identity of the client or organization;
• The event date and schedule;
• The venue name and address;
• The expected audience size;
• The nature and age range of the audience;
• The requested performance format;
• Available performance space;
• Audio, lighting, staging, and production conditions;
• Travel and lodging requirements;
• The proposed payment source; and
• Any other information reasonably necessary to evaluate the event.
Failure to respond to a reasonable verification request may result in disqualification.

CONFIDENTIALITY OF OFFERS
Individual offer amounts, participant names, contact information, event details, and organizational information will not be intentionally published by AOKMagic without permission, except as reasonably necessary to:
• Evaluate an offer;
• Communicate with the participant;
• Prepare or perform a contract;
• Process payments;
• Obtain legal, accounting, insurance, or professional advice;
• Comply with applicable law; or
• Protect the legal rights, safety, or property of AOKMagic or another person.
AOKMagic may publicly announce an anonymized verified leading offer amount during the campaign.
For example, AOKMagic may state that “the current verified leading offer is $2,750” without identifying the participant or event.
AOKMagic is not required to publish leading-offer updates or notify every participant whenever a higher offer is received.

ACCURACY OF LEADING-OFFER ANNOUNCEMENTS
Any leading-offer amount publicly announced by AOKMagic will be based on an actual offer that AOKMagic reasonably believes to be legitimate and qualified at the time of the announcement.
AOKMagic will not knowingly create, invent, or use false offers to increase another participant’s offer.
A publicly announced leading offer may later be disqualified if verification reveals inaccurate information, a lack of booking authority, unacceptable event conditions, an inability to pay, or another violation of these Terms.

SUBMITTING MULTIPLE OR REVISED OFFERS
A participant may submit a revised offer before the closing deadline.
Unless the participant clearly states otherwise in writing, the most recent verified offer received from that participant will supersede the participant’s earlier offer.
A participant may not submit offers through multiple identities, businesses, email addresses, or representatives for the purpose of creating a false appearance of competition.

WITHDRAWING AN OFFER
A participant may request to withdraw an offer before the offer period closes by sending written notice to:

The withdrawal request should include the participant’s full name, organization, telephone number, event location, and original offer amount.
An offer cannot be withdrawn after it has been accepted through a signed performance agreement unless the performance agreement permits cancellation.

FALSE, MANIPULATIVE, OR FRAUDULENT OFFERS
The following conduct is prohibited:
• Submitting an offer without a genuine intention or financial ability to book;
• Providing false contact, event, venue, financial, or organizational information;
• Impersonating another person or organization;
• Submitting offers under multiple identities to manipulate the process;
• Colluding with another participant to manipulate offer amounts;
• Attempting to interfere with another participant’s submission;
• Attempting to access confidential offer information without authorization;
• Using automated systems to submit large numbers of offers; or
• Engaging in threatening, harassing, unlawful, or deceptive conduct.
AOKMagic may disqualify any participant reasonably suspected of engaging in prohibited conduct.
AOKMagic reserves all legal rights and remedies relating to fraudulent or intentionally misleading submissions.

SELECTION OF THE HIGHEST QUALIFIED OFFER
After the offer period closes, AOKMagic will evaluate the submitted offers and associated event details.
The highest Qualified Offer will ordinarily receive the first opportunity to secure the date.
AOKMagic reserves the right to reject any offer that is incomplete, fraudulent, unverifiable, unsafe, operationally unsuitable, legally problematic, inconsistent with AOKMagic’s services, or otherwise not qualified under these Terms.
AOKMagic is not required to accept any offer merely because it is the highest amount submitted.

TIE OFFERS
If two or more Qualified Offers are identical, priority will ordinarily be given to the earliest verified offer received.
AOKMagic may instead invite the tied participants to submit one final confidential offer by a stated deadline.
AOKMagic will apply the selected tie procedure consistently to the tied participants.

NOTICE TO SELECTED PARTICIPANT
AOKMagic will attempt to contact the selected participant using the email address and telephone number provided with the offer.
The participant is responsible for providing accurate contact information and monitoring incoming messages, including spam or junk folders.
A participant’s failure to receive or review a message does not extend the acceptance deadline unless AOKMagic agrees otherwise in writing.

TWENTY-FOUR-HOUR ACCEPTANCE PERIOD
The selected participant will have twenty-four hours from the time stated in AOKMagic’s written notification to:
• Review and sign AOKMagic’s performance agreement;
• Provide any required booking information;
• Approve all disclosed additional charges; and
• Pay the required 50% nonrefundable retainer.
The booking is not confirmed until AOKMagic receives both the signed performance agreement and the required retainer.
If these items are not received within the twenty-four-hour period, AOKMagic may withdraw the opportunity and offer the date to the next-highest Qualified Offer.
AOKMagic may extend the deadline in writing but is not required to do so.

$5,000 IMMEDIATE-BOOKING OPTION
A qualified client may request to bypass the confidential offer process and secure the available New Year’s Eve date for:
$5,000
The $5,000 immediate-booking option is designed for a client who wants certainty and does not want to wait until December 1 or compete with other offers.
Requesting the immediate-booking option does not, by itself, reserve or confirm the date.
To complete the immediate booking, the client must:
• Submit complete and accurate event information;
• Successfully complete AOKMagic’s event qualification process;
• Receive and approve any disclosed additional expenses;
• Sign AOKMagic’s performance agreement; and
• Pay the required 50% nonrefundable retainer within twenty-four hours of receiving the agreement.
The booking becomes confirmed only after AOKMagic receives the signed performance agreement and required retainer.
The date remains available until these requirements are completed.
If more than one qualified client requests the immediate-booking option, priority will ordinarily be given to the first client who completes the signed agreement and retainer payment, unless AOKMagic has already issued a written temporary hold to another client.
Once the $5,000 immediate booking is confirmed, AOKMagic may close the offer process and notify pending participants that the date is no longer available.
The $5,000 immediate-booking amount covers the selected standard performance package. Disclosed travel, lodging, parking, production, customization, overtime, and other services outside the standard package may be additional.

NO CONTRACT CREATED BY SUBMISSION
Submitting an offer, completing an online form, sending an email, exchanging messages, receiving an automated confirmation, receiving a qualification request, or being identified as the leading participant does not create a binding performance agreement.
A binding booking is created only when:
• AOKMagic and the client have signed the final performance agreement; and
• AOKMagic has received the required retainer in cleared funds.
Until both requirements are satisfied, AOKMagic has no obligation to reserve the date or perform.

RETAINER AND REMAINING BALANCE
The selected client must pay a 50% nonrefundable retainer to confirm the booking.
The timing and method for payment of the remaining balance will be stated in the final performance agreement.
Returned payments, reversed payments, chargebacks, declined transactions, or fraudulent payment activity may result in cancellation of the booking and additional remedies permitted by the performance agreement and applicable law.

TAXES AND PAYMENT-PROCESSING COSTS
Applicable taxes or governmentally imposed charges will be disclosed and collected as required by law.
AOKMagic will disclose any mandatory payment-processing charge before the client completes payment.
No undisclosed mandatory fee will be added after the performance agreement has been executed.

PERFORMANCE AGREEMENT CONTROLS
The selected client will be required to enter into a separate written performance agreement.
That agreement may address subjects including:
• Final performance date, time, and duration;
• Event location;
• Selected performance format;
• Compensation and payment deadlines;
• Retainer requirements;
• Travel and lodging;
• Technical and venue requirements;
• Cancellation and rescheduling;
• Force majeure;
• Audience conduct;
• Safety and security;
• Recording and intellectual-property rights;
• Merchandise;
• Insurance;
• Limitation of liability;
• Indemnification; and
• Other event-specific obligations.
If these Offer Terms conflict with the subsequently signed performance agreement, the signed performance agreement will control regarding the booked performance.

PERFORMANCE CONDITIONS
The client must provide a safe, lawful, and reasonably suitable performance environment.
AOKMagic may decline or discontinue a performance if conditions create a reasonable threat of injury, unlawful conduct, harassment, property damage, excessive intoxication, dangerous weather, unsafe equipment, or material interference with the performance.
Specific venue, staging, sound, lighting, audience, access, and security requirements will be addressed in the performance agreement.

ADULT COMEDY CONTENT
Alexander the OK specializes in interactive adult comedy magic.
The client is responsible for accurately describing the audience and communicating any content restrictions before signing the performance agreement.
A request for extensive content changes after booking may constitute customization and may require additional compensation or may be declined if it materially changes the agreed performance.
AOKMagic will not knowingly present age-inappropriate material to minors when the event was accurately represented and appropriate restrictions were agreed upon in advance.

CANCELLATION, RESCHEDULING, AND FORCE MAJEURE
Cancellation, rescheduling, refund eligibility, force majeure, severe weather, illness, travel disruption, venue closure, governmental restriction, and events beyond either party’s reasonable control will be governed by the signed performance agreement.
Submitting an offer does not create cancellation rights or payment obligations because no booking exists until the performance agreement and retainer requirements are completed.

COMMUNICATIONS AND ELECTRONIC RECORDS
By submitting an offer, the participant consents to receive communications related to:
• Verification of the offer;
• The status of the offer process;
• Requests for additional information;
• Leading-offer notifications;
• Selection or nonselection;
• Contract preparation; and
• The New Year’s Eve booking.
Communications may be sent by email, telephone, or text message using the information voluntarily provided by the participant.
Submitting an offer does not automatically enroll the participant in unrelated promotional marketing.
Electronic communications, electronic records, and electronic signatures may be used in connection with the offer process and performance agreement to the extent permitted by applicable law.

PERSONAL INFORMATION
AOKMagic will collect only information reasonably needed to evaluate offers, communicate with participants, verify events, prepare agreements, and complete bookings.
Participant information will not be sold as part of this offer process.
AOKMagic may retain offer records for legitimate business, accounting, fraud-prevention, dispute-resolution, insurance, and legal-compliance purposes.
Participants should not submit Social Security numbers, banking credentials, passwords, sensitive medical information, or other unnecessary sensitive information through the offer form or ordinary email.
Email is not guaranteed to be a completely secure method of communication.

PUBLICITY AND USE OF PARTICIPANT INFORMATION
AOKMagic will not publicly identify an unsuccessful participant or disclose that participant’s event details without permission, except when required by law.
Confirmation of a booking does not automatically grant AOKMagic permission to use the client’s name, logo, photographs, recordings, or event details for advertising.
Any publicity or promotional rights may be addressed separately in the performance agreement.

SOCIAL-MEDIA PLATFORM DISCLAIMER
This offer process may be promoted through Facebook, Instagram, TikTok, LinkedIn, Google, or other platforms.
It is administered solely by AOKMagic LLC.
It is not sponsored, endorsed, administered by, or associated with Facebook, Instagram, Meta, TikTok, LinkedIn, Google, Webador, or any other third-party platform through which it may be advertised or accessed.
Questions or disputes regarding the offer process should be directed to AOKMagic, not to a social-media platform or website provider.

TECHNICAL PROBLEMS
AOKMagic is not responsible for an offer that is delayed, misdirected, incomplete, corrupted, lost, or not received because of:
• Internet or email failure;
• An incorrect email address;
• A participant’s spam filter;
• Device or browser malfunction;
• Website or hosting interruption;
• Telecommunications failure;
• A third-party platform outage; or
• Other technical circumstances outside AOKMagic’s reasonable control.
Participants are encouraged to retain a copy of their submission and request confirmation if they do not receive an acknowledgment.
AOKMagic may accept a properly documented submission affected by a technical problem when doing so would be fair and would not disadvantage other participants, but AOKMagic is not obligated to do so.

CHANGES, SUSPENSION, OR CANCELLATION OF THE OFFER PROCESS
AOKMagic may modify, suspend, extend, reopen, or cancel the offer process when reasonably necessary because of:
• Fraud or attempted manipulation;
• Technical failure;
• Material error in the published terms;
• Illness, injury, or performer unavailability;
• Safety or legal concerns;
• Events beyond AOKMagic’s reasonable control; or
• Confirmation of the $5,000 immediate-booking option.
Any material change will be posted on the official offer page when reasonably practicable.
AOKMagic will not retroactively change an offer amount submitted by a participant.

NO GUARANTEE OF SELECTION
Participation does not guarantee:
• Selection;
• A booking;
• A particular performance time;
• Acceptance of requested contract modifications;
• Acceptance of an event outside AOKMagic’s service capabilities;
• A response to an incomplete or disqualified submission; or
• Availability after another client completes the immediate-booking requirements.
Participants who are not selected remain responsible for making their own alternative entertainment arrangements.

LIMITATION REGARDING THE OFFER PROCESS
To the fullest extent permitted by law, AOKMagic’s responsibility for a claim arising solely from participation in the offer process—and not from a subsequently signed performance agreement—will not exceed the amount actually paid by the participant to participate in the offer process.
Because no payment is required merely to submit an offer, that amount will ordinarily be zero.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
Any limitation of liability relating to an actual booked performance will be governed by the signed performance agreement.

GOVERNING LAW
These Offer Terms and the offer process will be governed by the laws of the State of Colorado, without regard to conflict-of-law principles.

DISPUTE LOCATION
Unless the parties later agree otherwise in a signed performance agreement, any legal proceeding arising solely from these Offer Terms or the offer process will be brought in a court of competent jurisdiction located in El Paso County, Colorado.
Each participant consents to the personal jurisdiction of those courts to the extent permitted by law.

GOOD-FAITH INFORMAL RESOLUTION
Before filing a legal action relating solely to the offer process, the participant and AOKMagic agree to make a reasonable good-faith effort to resolve the dispute informally.
A written notice of dispute should describe:
• The participant’s name and contact information;
• The relevant event and offer;
• The nature of the dispute;
• The requested resolution; and
• Supporting documents or communications.
Notices should be sent to:
This provision does not prevent either party from seeking emergency injunctive relief or taking action necessary to preserve a legal claim before a deadline expires.

SEVERABILITY
If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law or removed to the minimum extent necessary.
The remaining provisions will continue in effect.

NO WAIVER
AOKMagic’s failure to enforce any provision of these Terms on one occasion does not waive the right to enforce that provision or another provision later.

Section headings are included for convenience and do not limit or change the meaning of these Terms.

ENTIRE OFFER-PROCESS TERMS
These Terms, together with information expressly incorporated from the official New Year’s Eve offer page, constitute the complete terms governing participation in the offer process.
They do not replace the separate performance agreement required to confirm the actual booking.

ACCEPTANCE OF TERMS
By submitting an offer or requesting the $5,000 immediate-booking option, the participant represents and agrees that:
• The participant has read and understood these Terms;
• The submitted information is accurate;
• The participant is authorized to act for the event;
• The offer is genuine;
• The participant is financially prepared to complete the booking if selected;
• The participant understands that submission does not create a confirmed booking; and
• The participant agrees to receive offer-related communications from AOKMagic.
